CONSTITUTION
OF
SARANAC LAKE FISH & GAME CLUB
INC.
REVISED 1993
ARTICLE 1
The name of this organization shall be the
FISH & GAME CLUB
INC.
ARTICLE 2
OBJECTIVES:
The particular objectives for which this
corporation is
to be formed are as follows:
a. This
club is formed for the conservation of our
forest, the propagation, distribution and protection of
game, wild fowl, birds and fish, and for the aiding in the
enforcement of laws of the State governing the same and in
the securing of proper legislation upon these objectives.
b. The
promotion of a spirit of cooperation upon
the part of the public for the management of fish and
game
and for the sportsmanship in the harvesting of fish and
game.
c. The
promotion of marksmanship, camping, canoeing,
winter and summer sports, lectures, and discussions
involving the propagation, conservation, distributions and
management of game, wild fowl and fish.
a. The
holding of contests of sportsmanship and
skill in hunting, fishing, trapping, taxidermy and other
kindred phases of outdoor activities.
e. The
building and development of a club house and
club grounds for the meeting and recreation of members of
the club and the necessary acquisition of real estate by
purchase
, lease or other tenure to further
the objectives
of the club.
ARTICLE 3
GOVERNMENT: In order to be an officer or Board of
Director,
a member must be a regular member in good standing for
one
year prior to holding office.
The officers of this club shall consist of
a president,
vice president, secretary, membership secretary and
treasurer. These officers together with six other members,
to be elected by the club, shall constitute the Board of
Directors.
Three of the six directors shall be elected
each year
for a term of two years
ARTICLE 4
DUTIES OF OFFICERS:
President: The President shall:
1. preside at all
meetings of the club and Board of
Directors.
2. be a member
ex-officio of all regular and special
committees.
3. perform all
such duties as pertain to the
constitution and bi-laws.
4. write or the
President’s designee shall write a
monthly bulletin to be mailed to all members.
Vice President: The vice president shall perform the
duties of the President in his/her absence or at his/her
request.
Secretary: The secretary shall keep the minutes of all
meetings of the club and Board of Directors. He/she shall
attend to all correspondence of the club and render
assistance to committees when requested.
Membership Secretary: The membership secretary shall:
1. receive all applications for membership into the
club.
2.
be responsible for the collection of all membership
fees and shall remit the same to the treasurer, taking his
proper receipt.
3. notify all members whose dues are in arrears.
Treasurer: The treasurer shall:
1. pay from the funds of the club all proper bills
regularly contracted by the club
2. submit his/her accounts for examination to the Board
of Directors when requested.
3. report in detail at the monthly meetings the
disbursements and receipts of the club.
4. collect all bills and assessments due the club.
5. prepare an annual financial statement covering all
receipts and disbursements for the fiscal year.
6. or a designee, shall be responsible for mailing the
monthly bulletin.
Board of Directors: The Board of Directors or member of
the Board shall:
1. hold all the property, effects and other assets of
the club in trust for the benefit and enjoyment of the
members thereof.
2. have the management and control of the same and
exercise a general superintendency
over the affairs of the
club.
Section A: The Board of Directors shall meet at a
regularly
scheduled date and time each month as agreed upon by the
Board members and
published monthly in the bulletin.
Special meetings may
be called by the President, if an
emergency arises, and due notice is given to the Board
members.
Section B: Each Board member is expected to attend all
regularly scheduled meetings of the Board, unless excused by
the President. A member of the Board accumulating four
unexcused absences during the year will be automatically
recommended to the other Board members for suspension of
his/her voting rights on the Board, for the balance of the
year. Should a suspension occur, the Board may appoint a
replacement for the balance of the term.
ARTICLE 5
Quorum: Ten members present at a regular club
meeting,
which has been scheduled and announced in the monthly
bulletin, shall constitute a quorum for business except as
follows.
1. For the expulsion of
a member or for the amendment of
the constitution and/or the by-laws, one month’s notice
of
the scheduled date and purpose of the meeting must be
given
all members. A total of 20 present shall then constitute
a
quorum for action.
2. For regular or special Board meeting, a
quorum shall
consist of a simple majority of the voting members on the
Board.
ARTICLE 6
Voting: A two-thirds secret vote of the members in
good
standing, present, shall be necessary to approve the action
when amending the constitution and/or the bylaws. A
majority vote of those present is necessary for transaction
of business at regular club meetings and Board meetings.
ARTICLE 7
Fiscal Year: The fiscal year shall run from January 1 to
December 31. In
January of each year the annual dues and
assessments shall be due and payable. The books shall be
audited between the regular December meeting and the January
meeting by three voting members forming an auditing
committee selected by the membership.
BY-LAWS
SARANAC LAKE FISH & GAME CLUB , INC.

ARTICLE 1
DUES: The annual dues, regulated by the Board,
shall be
payable on or before January 1. Under special conditions
this may be waived for an individual at the discretion of
the Board of Directors. This can only be done for one
year
at a time. Any members not paying their annual dues
before
April 1 of the current
year, shall lose his/her good
standing membership status and will not receive a bulletin.
To be reinstated, dues
must be received and the membership
must vote for re-admission . Service personnel, while on
active duty , shall be exempt from dues if called into
service while being in a “paid up member in good standing”
status. First time members joining the club between October
1 and January 1 shall
be considered members in good standing
through the following January.
ARTICLE 2
MEMBERSHIP: 1. Qualifications- an applicant for regular
membership must be at least 18 years of age, of good repute,
willing to abide by the constitution , by-laws and rules of
the club and known to a member of the club.
2. Admission- applications shall be submitted to the
membership secretary and be accompanied by the annual dues
fees. The applicant must be recommended and the
application
signed by a member in good standing of the club.
Applications will be
submitted to the membership secretary
for voting upon at a regular meeting. If rejected, the
applicant’s fee will be returned.
3. Resignation- any member may sever relations
with the
club by submitting his/her resignation to the membership
secretary, provided that he/she is not under charges. In
case of charges, a member may not resign unless he/she has
permission from the Board of Directors.
4. Expulsion/Suspension- The Board of Directors
upon
written complaint from a member(s) may expel a member from
the club for conduct UN-becoming a member of the club or
detrimental to the best interest of the club. Before the
Board can take action,
the member under charges must be
given 15 days written notice , stating the charges as well
as the date and time of the meeting at which the charges
will be considered. He/she shall then be accorded a full
hearing before a vote is taken. A two-thirds secret vote of
the total number of
Board members is required for
expulsion/suspension.
5. Classes of membership:
a. Regular: All duly accepted, paid up members 18 years
and over are classified as regular members. They may vote
and enjoy all club privileges.
b. Family: Up to two adults and any children less than
18 years old. A family
membership shall have only one
vote
c. Honorary Life: Persons distinguished for their
knowledge in matters of interest to the club, who have
contributed greatly to further the club’s objectives may be
elected Honorary Life member at a regular meeting. Anyone
so designated will retain all the rights and privileges
of a
regular member and shall be exempt from dues payment.
d. Junior: Any person under the age of 18 , meeting
regular membership qualifications may be admitted in the
normal manner as a Junior member. Such a member is entitled
to all rights and privileges of the club, save the right
to
vote and hold office.
e. Complimentary: A one year membership may be
awarded at the discretion of the Board to anyone who has
contributed to the welfare of the club in such a degree that
recognition is warranted. Such a member will have the same
rights and privileges as a Junior member.
ARTICLE 3
REGULATION: The Federal, State and Local laws shall be
standard for sportsmen who are members of the Club.
ARTICLE 4
RULES
: All
posted Range Rules will be adhered to by
members and guests.
ARTICLE 5
BUSINESS: Robert’s Rules of Order shall apply at all
meetings except as qualified herein. The general order of
business shall be:
1.
Reading of the minutes of the previous
meeting for information and approval.
2.
President’s Report
3.
Treasurer’s Report
4.
Membership secretary’s report and action
upon applications.
5.
Reports of committees
6.
Old business
7.
New business
8.
Election of Officers (when appropriate)
ARTICLE 6
ELECTIONS: A nominating committee will be appointed by
the President at the November meeting. They will prepare
a
slate of officers for the ensuing year prior to the
December
meeting. Selections will be made with due regard to the
nominees dedication to the club, his/her ability to serve
the club and the requirements of the New York State A.B.C.
Board. No one will be nominated for a major office who has
not been a voting member for at least a year. The
election
will be held at the regular meeting in December at which
time additional nominations may be made from the floor.
The
Chairman of the
nominating committee will be in charge of
the elections and shall hold the elections in accordance
with Robert's Rules of
Order. Terms of office will be from
January 1 through
December 31 for the year/years for which
elected. Unfinished
terms of office may be filled through
appointment by the Board of Directors.
ARTICLE 7
Amendments: Amendments
to the constitution or these
bi-laws can be made at a regularly scheduled meeting of the
club providing the applicable quorum requirement has been
met. A two-thirds
vote of those present is required for
adoption. Before an
amendment can be voted upon, it must be
presented in writing at a regular meeting at least one month
in advance of the meeting at. which
action is to be taken.
After discussion and
review the finalized version of the
amendment will be advertised in the monthly bulletin which
will also carry the date and time of the meeting at which
the amendment will be presented for action.
ARTICLE 8
Distribution: A copy of this revised constitution and
by-laws will be made available to each member upon request
and a copy of the constitution and by-laws will be
prominently posted in the club house.
